Welcome to Vocaliv — the AI operational layer for training providers. Vocaliv helps small and medium enterprises (SMEs) that deliver training generate course content, quizzes, and presentations, and handles routine trainee support so trainers can focus on high-value delivery. By accessing or using the Vocaliv platform (the “Service”), you agree to be bound by these Terms of Use (the “Terms”).

If you do not agree to these Terms, please do not use our Service.

1. Definitions

• “Vocaliv,” “we,” “our,” or “us” refers to the owner and operator of the platform.
• “User,” “you,” or “your” refers to any person accessing the Service, including Individual Users and Organizational Users (Admins, Trainers, Trainees).
• “Organizational Account” refers to accounts set up for training providers, corporate training firms, and other small and medium enterprises (SMEs) that manage multiple user roles.

2. Eligibility

To use the Service, you must:

• Be at least 13 years old (or comply with your jurisdiction’s age of consent laws).
• If under 18, have consent from a parent, guardian, or your organization.
• Have the legal capacity to enter into a binding agreement.

3. User Accounts & Responsibilities

• Account Setup: You must provide accurate and complete information during registration.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials.
• Authorized Use: You may not share your account or allow others to access it unless explicitly permitted (e.g., organizational trainee accounts).
• Updates: You must keep your account information up to date.

4. Acceptable Use

You agree to:

• Use the platform for lawful purposes only.
• Not upload or generate abusive, misleading, plagiarized, or discriminatory content.
• Not reverse engineer, decompile, or modify any part of the Service.
• Not use the Service to train or replicate competing AI products.

We reserve the right to suspend or terminate accounts that violate these terms.

5. AI-Generated Content

• AI-generated content is meant for training support and may require human review.
• Vocaliv is not liable for inaccuracies or misuse of generated content.
• Content remains editable and the responsibility of the user or organization that uses it.

6. Intellectual Property

• Vocaliv IP: All features, code, and AI systems are owned by Vocaliv or its licensors.
• User Content: You retain ownership but grant us a license to use it for providing the Service.
• Feedback: We may use feedback you provide without obligation.

7. Subscription & Payment

• Pricing Model: Vocaliv operates on a subscription-based pricing model. Each plan includes defined allowances, such as published courses, active trainers, active trainees, and AI usage. Certain features, including the voice-based AI Coach, are available as usage-based add-ons billed per hour of assisted learning at the rates published on our pricing page.
• Plans: Subscription tiers may differ in features, plan allowances, and pricing. Organizations and individuals may be subject to different terms. Usage beyond plan allowances may require an upgrade or add-on purchase.
• Billing: Payments are managed via third-party payment processors. By subscribing, you authorize recurring charges unless canceled.
• Refunds: Except where required by law, all purchases are final and non-refundable.

8. Suspension & Termination

We may suspend or terminate your access:

• For violation of these Terms
• If required by law
• Upon account inactivity or unpaid invoices

You may delete your account at any time. Organizational accounts may retain data for audit or compliance purposes unless deletion is requested.

9. Disclaimers

• No Warranty: The Service is provided “as is” without warranties of any kind.
• Professional Use Only: Vocaliv supports training delivery; it is not a substitute for professional trainer judgment.
• No Guarantee of Results: Training outcomes depend on proper usage and organizational practices.

10. Limitation of Liability

To the maximum extent permitted by law, Vocaliv and its affiliates are not liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or training outcomes
• Damages from third-party integrations or content misuse

11. Indemnification

You agree to indemnify and hold harmless Vocaliv, its officers, and partners from any claims, damages, or legal costs arising from your use of the platform or violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notifications. Continued use of the Service after updates indicates acceptance.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Pakistan.
